End-User License Agreement
The Software is Licensed, Not Sold
SQL Server Comparison Tool ("SOFTWARE") is licensed to you by AlfaAlfa Software Corporation ("AS"). This agreement covers the SOFTWARE and any associated components, media, printed materials, and online or electronic documentation.
Grant of License
Evaluation Copy. You may use the SOFTWARE without charge on an evaluation basis for thirty (30) days from the date of installation. After 30 days, you must purchase a license to continue using the SOFTWARE.
Redistribution of Evaluation Copy. You may freely copy and distribute the unmodified evaluation SOFTWARE by electronic means, provided you do not charge for the SOFTWARE itself, you include a copy of this EULA, and you do not represent that you are selling the SOFTWARE.
Registered Copy. After purchasing a license and receiving your registration code, you may install the SOFTWARE on the number of computers corresponding to your licenses purchased. The primary user may make a second copy for exclusive use on a portable computer. You may make one backup copy for archival purposes. You may permanently transfer all rights under this EULA, provided you transfer all copies and the recipient agrees to these terms.
Restrictions
You may not reverse engineer, decompile, or disassemble the SOFTWARE except as permitted by applicable law. You may not rent, lease, or lend the SOFTWARE. You may not use the SOFTWARE for any unlawful purpose or unauthorized transfer of information.
Support Services
AlfaAlfa Software may provide support services related to the SOFTWARE. Any supplemental code provided as part of support services is considered part of the SOFTWARE and subject to this EULA. Technical information you provide may be used for product support and development, but will not be used in a form that personally identifies you.
Termination
This EULA terminates automatically if you fail to comply with its terms. Upon termination, you must destroy all copies of the SOFTWARE.
Copyright
The SOFTWARE is protected by Canadian copyright law and international treaty provisions. Title and full ownership rights remain exclusively with AlfaAlfa Software Corporation. You acknowledge that no title to the intellectual property is transferred to you.
No Warranties
ALFAALFA SOFTWARE EXPRESSLY DISCLAIMS ANY WARRANTY FOR THE SOFTWARE. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE REMAINS WITH YOU.
Limitation of Liability
IN NO EVENT SHALL ALFAALFA SOFTWARE OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR INDIRECT DAMAGES ARISING OUT OF THE DELIVERY, PERFORMANCE, OR USE OF THE SOFTWARE. ALFAALFA SOFTWARE'S LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF US$1.00 OR THE LICENSE FEE PAID BY YOU.
Governing Law
If you acquired the SOFTWARE in Canada, this EULA is governed by the laws of the Province of Ontario. If acquired outside Canada, local laws may apply.
